Our Terms & Conditions
Last updated: April 25, 2025
Welcome to Everfind! These Terms of Use (the "Terms") govern your access to and use of Everfind, a service provided by Snackbit UG (haftungsbeschränkt) (“Snackbit,” “we,” or “us”). Everfind is an AI-powered tool that helps you organize and search through your documents and data from various sources in one place. By creating an account or otherwise using Everfind (through our website or application), you agree to be bound by these Terms, as well as our Privacy Policy (which describes how we handle your data). If you do not agree to these Terms or the Privacy Policy, you must not use the Service.
Please read these Terms carefully before using Everfind. They contain important information about your obligations as a user, the limitations of our liability, and how any disputes will be handled.
1. Definitions
For clarity in these Terms:
“Everfind” or “Service” refers to the Everfind application and platform (including the website and any mobile or desktop applications) that allow users to upload files, connect integrations, and ask questions to retrieve information via AI.
“User” or “you” refers to any person or entity who creates an Everfind account or uses the Everfind Service.
“User Content” means any data, information, files, documents, text, images, or other content that you upload, submit, or otherwise make available to Everfind (including content imported from third-party integrations like your Google Drive, Gmail, or Jira accounts).
“Snackbit” or “we” refers to Snackbit UG (haftungsbeschränkt), the company providing Everfind, including our affiliates, directors, employees, and agents.
2. Eligibility and Accounts
Minimum Age: You must be at least 18 years old to use Everfind. By registering for an account or using the Service, you represent and warrant that you are 18 or older and that you have the legal capacity to enter into these Terms. We do not knowingly permit users under 18; if we discover an account belonging to an underage user, we will terminate it.
Account Registration: To access most features of Everfind, you’ll need to create an account. You agree to provide accurate, current, and complete information during registration and at all other times when you use the Service. For example, you should provide a valid email address and your real name (or a company name, if applicable). You are responsible for keeping your account information up-to-date.
Account Security: You are responsible for maintaining the confidentiality of your account login credentials (such as passwords or OAuth tokens if using Google/Microsoft sign-in) and for restricting access to your account. You agree not to share your account credentials with others. You must notify us immediately at support@everfind.ai (or legal@everfind.ai) if you suspect any unauthorized use of or access to your account. We are not liable for any loss or damage arising from your failure to protect your account information.
One Account Per User: Unless otherwise permitted by us, you should create only one account for yourself. Creating multiple accounts to bypass feature limits or for any malicious intent is prohibited.
Use on Behalf of an Organization: If you are using Everfind on behalf of a company or other legal entity (for example, your employer), you represent that you have the authority to bind that entity to these Terms. In that case, “you” will refer to both you as an individual and the entity you represent. That organization will be responsible for ensuring all its authorized users comply with these Terms. If you do not have authority or are not sure, you must not use Everfind on the entity’s behalf.
3. Description of Service
Everfind is an AI-powered productivity and search service. Key functionalities include:
Document Upload and Storage: You can upload your documents and files to Everfind’s platform. Everfind will securely store these documents (as described in our Privacy Policy) and process them to make them searchable.
Integrations: Everfind allows you to connect third-party services (such as Google Drive, Gmail, or Jira) to import and index information from those services. By connecting an integration, you grant Everfind permission to access your data from that third-party service as necessary to provide the Everfind functionality (e.g., reading your Google Drive files to index them, or reading Jira issues).
AI-Powered Search and Q&A: Everfind uses artificial intelligence, including third-party AI models, to analyze your data and answer questions you ask. For example, you can ask Everfind a question in natural language, and it will attempt to find relevant information from your uploaded or connected data and present an answer (often with references to source documents).
Insights and Organization: Everfind may provide features like categorizing documents, summarizing content, or generating insights based on your data to help you quickly find what you need.
Analytics and Improvements: We continuously improve Everfind, which means the features may change over time, some features may be introduced as beta and improved iteratively. We may also analyze usage patterns to optimize performance (in accordance with the Privacy Policy).
No Emergency or Critical Use: Everfind is a general information tool. You acknowledge that Everfind is not intended for use in any emergency, life-saving, or otherwise critical situations. It should not be relied upon as the sole source of important information. (For example, you should not use Everfind to store the only copy of critical documents without backup, or to provide medical, legal, or financial advice answers that you wholly rely on without verification.)
We reserve the right to modify, suspend, or discontinue the Service (in whole or in part) at any time, including introducing new features or imposing limits on certain features, without liability to you. We will endeavor to give notice for major changes when feasible.
4. Acceptable Use Policy
We strive to maintain a respectful and safe environment for all users. By using Everfind, you agree to the following acceptable use conditions and you must not engage in any prohibited conduct:
4.1 Lawful Purposes Only: You will use Everfind only for lawful purposes. You will not upload, query, or share any User Content in a manner that:
Violates any applicable law, regulation, or rule (including data protection laws, export control laws, etc.).
Is fraudulent, illegal, or promotes illegal activities (for example, content that furthers criminal activity).
Is defamatory, libelous, or slanderous; that harasses, bullies, or threatens others; or that is obscene, pornographic, or indecent in a manner that violates laws.
Infringes or misappropriates the intellectual property rights or other rights of any person or entity (for example, uploading documents you do not have the right to use, or that contain copyrighted material without permission).
4.2 Respect for Others’ Privacy and Rights:
Do not upload or otherwise make available any personal data of others without their consent. If your documents contain personal information about third parties, ensure you have the legal right (or their permission) to use that data with Everfind.
Do not use Everfind to stalk, harass, or impersonate any person.
Do not attempt to collect information about other users of Everfind without authorization.
4.3 Service Integrity:
Do not use Everfind in a manner that could damage, disable, overburden, or impair our servers or networks. For example, do not launch any form of automated system (like a bot or script) that sends an excessive number of requests to Everfind, attempts to hack or DDOS the service, or mass downloads content in a way not permitted.
Do not attempt to bypass or defeat any security or access controls of Everfind. This includes not attempting to access accounts or data that you are not authorized to access, and not probing, scanning, or testing the vulnerability of the Service (if you are a security researcher and discover a vulnerability, we ask that you report it responsibly to us instead of exploiting it).
Do not introduce any viruses, malware, Trojan horses, or other harmful code into Everfind or use the Service to distribute malware.
Do not attempt to reverse engineer, decompile, or otherwise extract the source code or underlying algorithms of any part of Everfind, except to the extent that such activity is expressly permitted by law notwithstanding this limitation.
4.4 Proper Use of AI and Content:
You understand that Everfind’s AI features may generate answers or content based on your data. Do not rely on Everfind for advice in professional fields (legal, medical, financial, etc.) without independent verification. Everfind’s answers are generated automatically and could be incorrect or incomplete. You are responsible for how you use or act on the information obtained from Everfind.
Do not use Everfind’s AI outputs in a manner that violates any policies. For example, if Everfind’s AI provides you with content, you should not publish that content if it infringes copyright or is unlawful. (While the content is derived from your data, you should still ensure you have rights to use any output if you intend to share it publicly.)
If you integrate Everfind with email or other communication tools, do not use it to send spam or unsolicited bulk messages. Everfind itself doesn’t send emails on your behalf, but be mindful if you copy answers or content out of Everfind for messaging.
4.5 No Misuse of Integrations: If you connect third-party services to Everfind:
Abide by the third party’s terms of service (e.g., Google’s Terms for use of their API, Atlassian’s terms for Jira access). For instance, if Google’s terms say you cannot use the data in certain ways, you must follow those rules even when using Everfind.
Do not attempt to use Everfind to extract data from third-party services beyond what the integration is intended for. (For example, using Everfind to systematically export all data from a connected service in violation of that service’s terms.)
You may disconnect integrations at any time, but while connected, Everfind will have the access you granted. Use it responsibly and don’t grant access to data you shouldn’t.
4.6 Fair Use: If we offer a free plan or trial, it is meant for reasonable use. Using automated means to consume resources (like sending thousands of queries to test the limits) or otherwise abusing a free service could result in suspension. If you need higher usage, contact us about appropriate plans rather than circumventing limits.
If you violate this Acceptable Use Policy or any part of these Terms, we may take action including suspending or terminating your account (see Termination below). We may also cooperate with law enforcement if your misuse is unlawful.
5. User Content and Intellectual Property
5.1 Your Ownership of Your Content:
You retain all rights and ownership of your User Content. Everfind does not claim ownership over the documents, files, or data that you upload or import into the Service. These Terms do not grant us any ownership rights in your content.
5.2 License to Everfind:
In order to provide the Service, we need certain permissions from you to handle your User Content. By using Everfind and uploading or connecting content, you grant Snackbit UG and our service providers a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and display your User Content, and to distribute and perform computational analysis (including AI processing) on it for the purpose of operating, providing, and improving the Service. This license is solely to enable us to technically administer and display your content to you (and to those you explicitly share it with, if sharing features exist) and to analyze it to give you results (like search results or generated answers). For example, without this license, we wouldn’t have the rights to index your documents on our servers, back them up for you, or feed the text into our AI algorithms that answer your questions.
This license also extends to any trusted third-party processors we use solely for the purpose of providing the Service (as outlined in the Privacy Policy, e.g., sending snippets to OpenAI’s API to get an answer). They will use your content only under our direction and within the scope of this license.
We do not use your content for any purposes outside of those described in these Terms and the Privacy Policy. For instance, we do not publish your documents, we do not sell them, and we do not use them to train any general models. The license terminates when you delete your content or your account (allowing for brief retention in backups as described in the Privacy Policy).
5.3 Your Responsibilities for Your Content:
You are solely responsible for all User Content you upload or provide. This means:
You represent and warrant that you have all necessary rights, licenses, and permissions to provide the content to Everfind and to grant the license above. If the content is owned by someone else (e.g., your employer or a third party), it is your responsibility to ensure you have authorization to use it with Everfind.
You agree that your content will not violate any laws or these Terms (see Acceptable Use Policy). You remain liable for any consequences arising from your content (for example, if you upload infringing or illegal content).
If your content includes personal data of others, you are responsible for having a valid legal basis to process that data and to share it with us for the Service. Everfind processes data as your processor (with you as the controller) when it comes to any personal data of third parties in your content. You should not use Everfind to store personal data that you are not allowed to have or share.
We do not actively monitor User Content, but we reserve the right (but not the obligation) to review and remove any content that we believe violates these Terms or applicable law, or upon receiving a takedown request or notice of infringement.
5.4 Feedback:
If you provide us with any suggestions, ideas, bug reports, or other feedback about Everfind (“Feedback”), you acknowledge that such Feedback is given voluntarily and that we are free to use, disclose, and otherwise exploit it without any restriction or compensation to you. You grant us a perpetual, irrevocable, sublicensable, transferable license to use and incorporate any Feedback into the Service or our other products or services. This is to help us improve Everfind; we appreciate feedback but cannot treat it as confidential or as your proprietary information.
6. Everfind’s Intellectual Property
Everfind (excluding your User Content) is protected by intellectual property laws. All rights, title, and interest in and to the Service, including:
The software, code, and technology underlying the Service.
The design, user interface, and visual elements of Everfind.
The Everfind name, logo, and any associated trademarks or service marks.
The compilation of content, and any content provided by us (such as help articles, our blog content on the site, etc.).
Any algorithms, models, or results generated by the Service (excluding the portions that contain or are derived from your content; for clarity, an answer that Everfind gives you is largely based on your content and query, so we do not claim ownership of the factual information in it – that remains yours; however, the general system and methods that produce that answer are ours).
These are all owned by Snackbit UG or our licensors. We reserve all rights not expressly granted to you in these Terms.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use Everfind solely for your personal or internal business purposes, and only as permitted by these Terms and applicable law. You may not use Everfind in any manner that infringes our intellectual property rights or those of our licensors.
Without our prior written permission, you agree not to:
Copy, modify, distribute, or create derivative works based on any part of Everfind (except as allowed under open source licenses for components that we may incorporate and release – any such components will be identified in the app or documentation with their own licenses).
Reverse engineer, decompile, or attempt to extract the source code of Everfind, unless permitted by law.
Use any of our trademarks, logos, or branding without permission. You can however state factually that you are a user of Everfind (e.g., in a blog post you write about productivity tools) as long as you don’t imply any endorsement or partnership.
7. Third-Party Services and Links
Everfind integrates with or may contain links to third-party websites or services that are not owned or controlled by Snackbit UG. This includes:
Third-Party Integrations: as described, you may connect to services like Google or Atlassian. Those services have their own terms and privacy policies, which govern your use of those services. For example, using the Google Drive integration is also subject to Google’s API Terms of Service and Google’s privacy policy. Everfind is not responsible for data or actions on the third-party side; we just facilitate access with your permission. If any integration is causing issues or you suspect misuse by the third-party, please disconnect it and inform us.
Links: Our website or communications may contain links to external websites (for example, a link to a blog, a resource, or a partner’s site). We provide these for convenience or reference. We do not endorse and are not responsible for third-party content, advertising, products, or other materials on or available from those sites.
Your Responsibility: If you use any third-party service or follow links, you do so at your own risk. The third-party’s terms and policies apply to you when you are interacting with them. For instance, when you are on Google’s systems (like their OAuth login, or if you go to a Google Docs link in an Everfind answer), Google’s terms govern that interaction.
Everfind does not assume any liability for your use of third-party services. However, if an integration within Everfind is not functioning as intended or if you have a negative experience, please let us know and we will see if we can assist or adjust our integration.
8. Privacy
Your privacy is important to us. Please review our Privacy Policy (provided above) which explains how we collect, use, and share your personal data in connection with your use of Everfind. The Privacy Policy is incorporated into these Terms by reference. By using Everfind, you consent to the collection and use of information as outlined in the Privacy Policy.
In summary, to use Everfind, you agree that we can process your data in accordance with our Privacy Policy. Among other things:
We will access and process content you provide (like documents, emails, etc.) to give you the service (making it searchable and running AI queries).
We will handle your registration and account data to manage your account.
We use third-party processors (like hosting, AI providers, analytics, etc.) under strict conditions to provide the Service.
We respect your rights regarding your data (e.g., deletion upon request).
We do not sell your personal data or use it to train our models beyond your direct use.
We require you also to respect privacy – e.g., only provide us personal data that you have the right to share, as noted in Section 5 and Acceptable Use.
If you do not agree with the Privacy Policy or these Terms, you must discontinue use of Everfind.
9. Paid Plans and Payments (if applicable)
Currently (as of the last updated date above), Everfind may be in a beta or free trial stage. If Everfind in the future offers paid subscriptions or usage plans, the terms in this section will apply. (If you are using a free plan, this section may not apply except where explicitly stated.)
Fees: Some features or increased usage of Everfind might require payment of fees. The pricing and payment conditions will be disclosed when you sign up for a paid plan. You agree to pay all applicable fees and taxes in a timely manner, using a valid payment method we accept.
Auto-Renewal: If we offer subscription plans, by default they may auto-renew (monthly or annually). We will inform you of the auto-renewal terms. You can cancel auto-renewal at any time, which will stop future charges but usually allow you to use the service until the end of the current period you paid for.
Trials and Promotions: We might offer trial periods or promotional pricing. Those may have additional terms. At the end of a trial, if you do not cancel, the subscription might start at the regular price (we’ll let you know if that’s the case).
Changes in Fees: Our prices may change over time. We will provide advance notice of any price changes for subscriptions. If you do not agree with a price change, you can cancel before the new price takes effect.
No Refunds: Fees are generally non-refundable unless stated otherwise or required by law. For example, if you cancel in the middle of a paid period, you might retain access for the rest of that period without a refund for the unused portion. We will handle refunds on a case-by-case basis if extraordinary circumstances occur (e.g., if the service was unavailable for an extended period due to our fault).
Late Payments: If we cannot charge your payment method (e.g., credit card expiration) and you don’t update payment info, we may suspend or downgrade your account after giving you notice and a reasonable grace period.
Third-Party Payment Processors: Payments might be processed by third-party services (such as Stripe, PayPal, etc.). They will have their own terms and privacy policy, which you should review. We are not responsible for any errors caused by these processors, but will help liaise to resolve issues if needed.
If you are only using a free version of Everfind, you won’t be charged any fees, but be aware that certain features may be limited and could require upgrading in the future if you desire expanded usage.
10. Termination and Suspension
10.1 By You (Cancellation):
You may stop using Everfind at any time. You may delete your account through the account settings or by contacting us at support@everfind.ai. If you delete your account, our Privacy Policy describes what happens to your data (we delete it promptly). If you are on a paid plan and you cancel before the end of your billing period, you may lose access to paid features immediately or at the end of the period depending on our policies (we will clarify at the time of cancellation).
10.2 By Us:
We reserve the right to suspend or terminate your access to Everfind (or certain features of it) at our discretion, with or without notice, if:
You violate any provision of these Terms (or act in a manner that clearly shows you do not intend to or are unable to comply with the Terms).
You misuse the Service or engage in behavior that we believe harms other users, our systems, or third parties (for example, attempting to hack the service, uploading illegal content, or using Everfind for illicit activities).
We are required to do so to comply with a legal requirement or court order.
We decide to discontinue the Service (if we shut down Everfind entirely, which we don’t anticipate, we would provide notice to all users and ideally allow you to export your data).
In most cases, we will attempt to notify and work with you to resolve the issue prior to termination (for example, sending a warning email for a policy violation and providing time to correct it). However, for severe violations or urgent issues (like security threats), we may suspend immediately.
10.3 Effect of Termination:
Upon termination of your account:
You will no longer have access to the Service, including any of your data in the Service (so ensure you have backups of your documents if needed; we allow export before termination).
All licenses and rights granted to you in these Terms will immediately cease.
Your obligations under certain provisions of these Terms will continue (see Survival below).
If your account is terminated due to violation of terms or illegal conduct, we may keep a record of your information to prevent further use of the Service by you (for example, to block a banned user from re-registering).
If we terminate your account in error or you believe it was wrongful, please contact us to discuss reinstatement. We understand mistakes can happen.
10.4 Survival of Terms:
Any part of these Terms which by their nature should survive termination (such as provisions regarding intellectual property ownership, disclaimers of warranty, limitation of liability, indemnity, and governing law) will survive termination and remain in effect.
11. Disclaimers of Warranties
Everfind is a cutting-edge service, but it has limitations. We provide Everfind “AS IS” and “AS AVAILABLE” to the fullest extent permitted by law.
No Warranty of Accuracy or Reliability: Snackbit does not guarantee that the information or results you obtain through Everfind will be accurate, reliable, or correct. The AI-generated answers and search results depend on your data and the AI’s algorithms, which may sometimes produce errors, omissions, or irrelevant information. Use your own judgment when acting on information obtained from Everfind. For example, if Everfind summarizes an email or answers a question about your documents, double-check the source if it’s important.
No Warranty of Uninterrupted Service: We do not guarantee that Everfind will be available at all times or free from delays, outages, or errors. There may be occasions when the Service is interrupted for maintenance, upgrades, emergency repairs, or due to failures of equipment or telecommunications. We will strive to minimize downtime but make no guarantees.
No Warranty of Non-Infringement: While we have no intention to infringe, we cannot guarantee that your use of the Service or any content (like AI outputs) does not infringe the rights of any third party. (However, as noted, your content is your responsibility; the main concern might be if AI inadvertently quotes something from your data that is copyrighted – since it’s your data, that’s not on us).
General Disclaimer: To the maximum extent allowed by applicable law, we disclaim all warranties and conditions, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We also make no warranty that the Service will meet your specific requirements or expectations, or that it will achieve any intended results.
At Your Own Risk: You use Everfind at your own risk. You are solely responsible for any damage to your computer system or loss of data that results from using the Service or downloading any content through the Service. (We of course try our best to ensure no such damage occurs – e.g., we’re not knowingly providing harmful files – this is a standard warning that if something goes wrong, we’re not automatically liable.)
Exception: Some jurisdictions do not allow the exclusion of certain warranties or conditions, so some of the above disclaimers may not fully apply to you. In those cases, our warranties are limited to the minimum extent permitted by applicable law.
12. Limitation of Liability
To the fullest extent permitted by law, in no event will Snackbit UG (Everfind) or its directors, officers, employees, affiliates, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your access to or use of, or your inability to access or use, the Service or any materials or content on the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been informed of the possibility of such damage.
This includes, for example:
Loss of profits, revenues, business opportunities or goodwill;
Loss of data or content (whether your own or others’), or cost of procuring substitute services;
Computer damage or system failure; or
Any third-party conduct or content (including any defamatory, offensive, or illegal conduct of other users or third parties) on the Service.
Our total liability to you for all claims arising out of or relating to the Service or these Terms, regardless of the form of the action, will not exceed the amount (if any) you have paid to us for the use of the Service in the 6 months immediately prior to the event that gave rise to the claim (for example, if you have a paid subscription, our liability is capped at what you paid during the last six months). If you have not paid anything (e.g., using a free plan), then our total liability is limited to ten (10) Euros (EUR €10) or the equivalent in your local currency. This limitation is cumulative and not per-incident.
Exceptions: Some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitation may not fully apply to you. In those jurisdictions, our liability will be limited to the greatest extent permitted by law. We do not exclude or limit liability that cannot be limited by law, for example liability for death or personal injury caused by our gross negligence or willful misconduct, or liability for fraud or fraudulent misrepresentation.
13. Indemnification
You agree to indemnify, defend, and hold harmless Snackbit UG, its affiliates, and their respective directors, officers, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) that arise out of or relate to:
Your use or misuse of Everfind,
Your violation of these Terms or of any law or regulation,
Your infringement or violation of any rights of a third party (for example, if you upload content that infringes someone’s copyright or privacy and a claim is made against us because of hosting or processing that content),
Any dispute you have with a third party relating to your use of Everfind (for instance, if you use Everfind to process someone else’s data and they claim you didn’t have permission).
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you agree to cooperate with us and help in asserting any defenses). You will not settle any such claim without our prior written consent, which we will not unreasonably withhold.
This indemnification obligation will survive any termination of your account or of the Service.
14. Governing Law and Dispute Resolution
14.1 Governing Law:
These Terms and any action related thereto shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of laws principles. However, if you are a consumer in the European Union, you may have additional protections under the mandatory laws of your country of residence, and nothing in these Terms seeks to override those protections.
If you are a consumer residing outside of the EU, other mandatory consumer protection laws or public order provisions in your country may also apply to the extent those are required by law to apply.
14.2 Jurisdiction and Venue:
Any disputes arising under or in connection with these Terms or the Service that cannot be resolved amicably shall be brought exclusively in the courts of competent jurisdiction located in Cologne, Germany (since Nümbrecht is in the jurisdiction of Cologne’s courts, for example), and each party consents to the personal jurisdiction and venue of such courts.
However, if you are a consumer, this choice of forum will not deprive you of the protection of any consumer rights to which you are entitled in your home jurisdiction, and you may have the right to bring an action in your home courts. The above provision is primarily for business users or where such submission to German courts is allowed.
14.3 Alternative Dispute Resolution:
Before filing a lawsuit, we strongly encourage you to contact us at legal@everfind.ai to discuss the issue. We are open to exploring alternative dispute resolution methods, such as mediation or arbitration, if both parties agree. However, we do not require arbitration in these Terms outright. If a dispute arises, good faith negotiation can often resolve it faster and more amicably than litigation.
14.4 Injunctive Relief:
Notwithstanding the above, either party may seek injunctive or other equitable relief in any competent jurisdiction to protect its intellectual property or confidential information (for example, we could seek an injunction if someone misappropriated our software in violation of these Terms).
15. Changes to the Terms
We may modify these Terms from time to time. If we make material changes, we will notify you through reasonable means, such as by emailing the address associated with your account or by posting a notice on our website or within the app. The updated Terms will be indicated by an updated “Last updated” date at the top.
Your Continued Use = Acceptance: By continuing to access or use Everfind after any revisions become effective, you agree to be bound by the updated Terms. If you do not agree to the new terms, you must stop using the Service and, if applicable, cancel your account.
For any changes that we are required by law to get your consent for (for example, potentially significant changes to dispute resolution provisions for consumers), we will ensure to obtain such consent. Otherwise, the changes will automatically take effect on the stated effective date.
We encourage you to review the Terms periodically to ensure you understand the terms and conditions that apply to your use of Everfind.
16. Miscellaneous
Entire Agreement: These Terms (together with the Privacy Policy and any additional agreements you might enter into with us in connection with the Service) constitute the entire agreement between you and Snackbit UG regarding Everfind and supersede all prior and contemporaneous agreements, proposals or representations, written or oral, concerning its subject matter. Any additional or different terms in any purchase order or other written correspondence from you are void, unless explicitly agreed in writing by Snackbit.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. The invalid provision will be deemed modified to the least degree necessary to remedy the invalidity while retaining as much of the original intent as possible.
No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. No waiver of any term shall be deemed a further or continuing waiver of that term or any other term.
Assignment: You may not assign or transfer these Terms (or any of your rights or obligations hereunder) without our prior written consent. Any attempted assignment without consent is void. We may assign or transfer these Terms to an affiliate or in connection with a merger, acquisition, sale of assets, or by operation of law, or otherwise at our discretion.
No Third-Party Beneficiaries: These Terms do not confer any rights or remedies on any person or entity other than you and Snackbit (and permitted assigns). This does not affect any rights under applicable law for individuals to exercise their rights as data subjects or consumers under the Privacy Policy or law.
Relationship of Parties: You and Snackbit are independent contractors. These Terms do not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship.
Notices: We may provide you with notices, including those regarding changes to these Terms, by email to the address you provided, by regular mail, or by postings on our website or within the Service. Notices emailed to you will be deemed given and received when the email is sent. You are responsible for keeping your contact information updated. If you need to give us notice, you can do so by email to legal@everfind.ai or via registered mail to our address provided in the Privacy Policy.
Headings: Section headings in these Terms are for convenience only and have no legal or contractual effect.
